Supplementary Terms and Conditions for Leadfeeder Connectors.
These supplementary terms and conditions (“Supplementary Terms”) for Leadfeeder Connectors operated by Dealfront Finland Oy (“us”, “we”, “our” or “Leadfeeder”) together with Leadfeeder General Terms and Conditions set forth the legally binding terms and conditions for the use of Leadfeeder Connectors (“Connectors Service”) and constitute the entire agreement between you (“you” or “the Client”) and Dealfront Finland Oy for your use of Connectors Service. Leadfeeder General Terms and Conditions are an inseparable part of these Supplementary Terms. If not explicitly determined in these Supplementary Terms, all definitions shall have the same meaning as determined in the Leadfeeder General Terms and Conditions. By accessing or using the Connectors Service in any manner, including, but not limited to, visiting or browsing the Connectors Service you agree to be bound by Leadfeeder General Terms and Conditions and these Supplementary Terms (“Connectors Agreement”).
1. The Service
Connectors Service allows you to enrich data with company information. Company information may include, but is not limited to information such as company name, industry, website address and employee count (“Connectors Data”). Connectors Service includes Leadfeeder Connectors APIs as documented in https://docs.leadfeeder.com/connectors/ip-enrich-api/#leadfeeder-ip-enrich-api any related connectors and software development kits provided by Dealfront Finland Oy for the use of Connectors APIs. We reserve the right to modify, discontinue, and restrict, temporarily or permanently, all or part of the Connectors Service without notice at our sole discretion. Neither we nor our suppliers or licensors will be liable to you or to any third party for any modification, discontinuance, or restriction of the Connectors Service. We might, at our sole discretion and from time to time, offer you free trials of the Connectors Service or selected features of the Connectors Service for a limited time period. Once the free trial period ends, your access to such trial features terminates.
2. Licenses and Use Restrictions
For the duration of the subscription term and subject to this Connectors Agreement, Leadfeeder grants to you a limited, non-exclusive, non-transferable, license to use the Connectors Service, Connectors Data and data, reports, analysis or other output developed by you from Connectors Data (“Data Outputs”), for your internal business purposes.
We may, at any time, impose restrictions and/or prohibitions on the use of Connectors Data and/or Connectors Service in following cases:
- Restrictions are imposed by local or foreign laws, ordinances, rules, and regulations or any judicial or regulatory interpretations thereof;
- Connectors Data or Data Outputs are used in any manner that exceeds the scope of the licenses granted hereunder;
- Restrictions are imposed by Leadfeeder’s data source providers; or
- Leadfeeder has a reason to believe that you are not complying with this Connectors Agreement
You are particularly not entitled to use the Connectors Data, Data Outputs or Connectors Service for the purpose of designing, producing, developing or marketing a similar service. Unless expressly agreed in writing, you shall not distribute or otherwise make available Connectors Data or Data Outputs to any third parties.
You affirm that all locations where Connectors Data or Data Outputs are stored have implemented industry-standard physical, technical, and administrative controls to ensure that Connectors Data data is accessible only by you, your authorized agents, the intended end-users and/or us.
Leadfeeder shall have the right, but not the obligation to monitor your use of the Connectors Service and may immediately cease to provide the Connectors Service or Connectors Data if it determines, in good faith, that your use of the Connectors Service does not comply with Connectors Agreement.
3. Intellectual Property and Trademarks
We, our affiliates, and our suppliers and licensors own all right, title, and interest, including all intellectual property rights, in and to the Connectors Service, and any services available in connection with the Connectors Service. Except for those rights expressly granted in this Connectors Agreement, no other rights are granted, either express or implied, to you. All copying, distribution or other use of the Connectors Service or any third-party services or content except as expressly permitted hereunder is prohibited without the prior written consent of the relevant rights holders.
Leadfeeder, Leadfeeder logos, and any other product or service name or slogan contained on the Connectors Service are trademarks or registered trademarks of Dealfront Finland Oy and its suppliers or licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of the applicable trademark holder. All other trademarks, registered trademarks, product names and company names or logos mentioned on the Connectors Service are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise, does not constitute or imply endorsement, sponsorship, or recommendation thereof by us, or vice versa.
You acknowledge that you don’t have proprietary interest in the Connectors Service, Leadfeeder Data or Data Outputs.
4. Term and Termination; Data Deletion
Connectors Agreement enters into force upon your license creation and/or account registration and shall terminate when the subscription (free trial or paid services) terminates. If your subscription is automatically renewable, your subscription to the Connectors Service will remain in effect and will be renewed automatically at the end of each subscription period unless you terminate your subscription, or we terminate it. If your subscription is made for a fixed period and/or not automatically renewable, your subscription will automatically terminate at the end of the agreed subscription period. Separate written order forms or contracts for the Connectors Service may have special adherence terms regarding renewal and defined advance notice periods for termination.
We may terminate this Connectors Agreement, effective immediately upon written notice to you without any opportunity to cure, if you breach any of the provisions of Leadfeeder General Terms and Conditions or these Supplementary Terms. We may terminate this Connectors Agreement without any cause, effective at the end of the applicable subscription term, upon written notice to you without any opportunity to cure.
Upon termination of this Connectors Agreement, all license rights hereunder will immediately terminate and you must immediately stop using the Connectors Service and Connectors Data. Upon termination or expiration of this Connectors Agreement, you will irrecoverably delete any and all Leadfeeder Data and Data Outputs within thirty (30) days of the termination of Connectors Agreement. You agree that Leadfeeder has the right to perform an audit should Leadfeeder suspect that you are continuing to use the Connectors Data.
5. Confidentiality
Each party shall keep in confidence all material and information received from the other party which should reasonably be understood to be confidential and may not use such material or information for any purposes other than those set out in this Connectors Agreement. The confidentiality obligation herein shall survive the termination, expiration or cancellation of this Connectors Agreement for two (2) years thereafter.
6. Changes To These Supplementary Terms
We reserve the right, at our sole discretion, to modify or replace these Supplementary Terms by posting the updated terms to https://www.leadfeeder.com/terms/connectors/, the account administrator will receive advance notification of any chance coming into effect. Your continued use of the Service after any such changes constitutes your acceptance of the new Supplementary Terms. Please review these Supplementary Terms periodically for changes. If you do not agree to any of these Supplementary Terms, do not use, access or continue to access the Connectors Service or discontinue any use of the Connectors Service immediately.
